Acceptance of Terms
These Terms and Conditions of Sale (“Terms”) constitute a binding agreement between LANI EV, LLC, a Tennessee limited liability company (“LANI EV,” “we,” “us,” or “our”), and the purchaser (“Buyer,” “you,” or “your”). By submitting a purchase order, making payment, or accepting delivery of any products, you agree to be bound by these Terms. If you do not agree to these Terms, do not purchase our products.

No Returns - All Sales Final
All sales are final. LANI EV does not accept returns, exchanges, or provide refunds for any reason, including but not limited to:
- Change of mind or buyer’s remorse
- Incorrect order placed by Buyer
- Failure to verify specifications prior to purchase
- Performance not meeting Buyer’s expectations
- Cosmetic preferences or color dissatisfaction
- Changes in business needs or operations
Once payment is received and/or product is delivered, the sale is complete and irreversible. Buyer bears sole responsibility for ensuring product specifications, quantities, and configurations meet Buyer’s requirements prior to purchase.

Inspection Period
Buyer has five (5) business days from delivery date to inspect products and report any manufacturing defects, shipping damage, or non-conformity with order specifications.
Claims must be submitted in writing with photographic evidence to managers@laniev.com.
Critical: This inspection period applies only to defects or errors in the order as shipped, not to dissatisfaction with the product generally. After five (5) business days, all products are deemed accepted in full, and Buyer waives all claims regarding condition, conformity, or defects except as covered under the Limited Warranty (Section 4).

Limited Warranty
LANI EV provides a limited warranty as set forth in the separate Warranty Documentation provided with each product. The warranty covers manufacturing defects and component failures under normal use conditions for the specified warranty period.
The warranty provided is the sole and exclusive warranty. LANI EV makes no other warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

Warranty Exclusions
The Limited Warranty does not cover and LANI EV shall have no obligation for:
- Misuse, Abuse, or Neglect: Damage resulting from improper use, operation outside specifications, overloading, racing, stunts, or operation in prohibited conditions.
- Modifications or Alterations: Any modification, alteration, or addition to the product not authorized in writing by LANI EV, including but not limited to third-party accessories, electrical modifications, or structural changes.
- Improper Maintenance: Failure to perform required maintenance as specified in owner documentation, use of improper fluids or parts, or lack of reasonable care.
- Environmental Damage: Damage from flood, fire, lightning, wind, hail, acts of God, saltwater exposure, or extreme temperature exposure.
- Normal Wear and Tear: Tires, brake pads, batteries beyond their specified cycle life, upholstery wear, paint fading, or other components subject to normal degradation.
- Commercial or Rental Use: Use in commercial operations beyond standard golf course fleet use, rental operations, or any use generating revenue beyond golf course green fees.
- Accidents or Collisions: Any damage resulting from collision, rollover, impact, or accidents of any nature.
- Unauthorized Repair: Repairs or service performed by anyone other than LANI EV authorized service centers without prior written authorization.
- Performance Variability: Any dissatisfaction with performance, range, charging capacity, speed, or operational characteristics, as LANI EV makes no guarantees regarding product performance under Buyer’s specific conditions and usage patterns.
- Consequential or Incidental Damages: Loss of use, lost revenue, lost profits, towing charges, storage fees, rental costs, business interruption, or any other consequential or incidental damages.

Limitation of Liability
To the maximum extent permitted by law, LANI EV’s total liability for any claims arising out of or related to the sale, use, or performance of products shall not exceed the actual purchase price paid by Buyer for the specific product giving rise to the claim.
LANI EV shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of use, business interruption, or damage to reputation, regardless of the theory of liability and even if LANI EV has been advised of the possibility of such damages.

Indemnification
Buyer agrees to indemnify, defend, and hold harmless LANI EV, its officers, directors, members, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to:
- Operator Negligence or Misconduct: Any injury, death, or property damage caused by negligent, reckless, or improper operation of LANI EV products by Buyer’s employees, agents, customers, guests, or any other persons.
- Misuse or Abuse: Use of products outside specifications, for unauthorized purposes, or in violation of applicable laws or regulations.
- Failure to Maintain: Injury or damage resulting from Buyer’s failure to properly maintain products, perform required inspections, or address known defects.
- Failure to Train or Supervise: Inadequate training, supervision, or qualification of operators permitted to use LANI EV products.
- Modification or Alteration: Any claims arising from modifications, alterations, or additions to products not authorized by LANI EV.
- Violation of Laws: Buyer’s violation of federal, state, or local laws or regulations governing operation, registration, insurance, or use of electric vehicles.
- Third-Party Claims: All third-party claims for personal injury, wrongful death, or property damage involving LANI EV products while in Buyer’s possession or control.
This indemnification obligation survives the sale and shall continue in full force and effect regardless of warranty expiration or any other termination of rights or obligations under these Terms.

Assumption of Risk
Buyer acknowledges and agrees that operation of electric vehicles and solar-powered equipment involves inherent risks, including but not limited to:
- Risk of collision, rollover, or loss of control
- Risk of electrical shock or battery-related injuries
- Risk of injury from moving parts and mechanical components
- Risk of injury to operators, passengers, and bystanders
- Risks associated with outdoor operation and weather conditions
Buyer voluntarily assumes all such risks and agrees that LANI EV is not responsible for injuries or damages resulting from the inherent risks of electric vehicle operation.

Operator Requirements and Responsibilities
Buyer is solely responsible for:
- Ensuring all operators meet minimum age and licensing requirements under applicable state and local laws
- Providing adequate training to all operators on safe operation and emergency procedures
- Enforcing operational policies including speed limits, passenger limits, and prohibited uses
- Maintaining required insurance coverage for vehicle operation
- Compliance with all applicable federal, state, and local regulations
- Installation and maintenance of required safety equipment and signage
LANI EV makes no representations regarding legal requirements in Buyer’s jurisdiction and Buyer is solely responsible for compliance.

Performance Disclaimer
LANI EV makes no guarantees, warranties, or representations regarding the performance, range, charging capacity, speed, or operational characteristics of products. Actual performance varies significantly based on numerous factors outside LANI EV’s control, including but not limited to:
- Geographic location, climate, and weather conditions
- Terrain, operating environment, and usage patterns
- Operator behavior, load weight, and speed
- Maintenance practices and battery care
- Solar panel orientation, shading, and cleanliness
- Age and condition of components
Buyer is solely responsible for determining whether product performance meets Buyer’s operational needs and requirements prior to purchase. LANI EV shall have no liability for performance that does not meet Buyer’s expectations.

Payment Terms
- Payment Due: Full payment is due per the terms specified in the invoice or purchase agreement. Standard terms are payment in advance for retail customers and net 30 days for approved commercial accounts.
- Late Payment: Past due amounts accrue interest at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less.
- Collection Costs: Buyer is responsible for all costs of collection, including reasonable attorneys’ fees, court costs, and collection agency fees.
- Right to Repossess: LANI EV retains a security interest in all products until payment is received in full and may repossess products for non-payment.

Delivery and Risk of Loss
- Delivery Method: Products are delivered via common carrier, freight, or customer pickup as specified in the purchase order.
- Risk of Loss: Risk of loss and damage passes to Buyer upon delivery to the carrier (FOB shipping point) or upon pickup by Buyer, whichever occurs first.
- Shipping Damage: Buyer must inspect shipments immediately upon receipt and note any visible damage on the delivery receipt. Concealed damage must be reported within the inspection period (Section 3).
- Delivery Delays: LANI EV is not liable for delays in delivery due to carrier issues, customs delays, manufacturing delays, or force majeure events.

Force Majeure
LANI EV shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, pandemics, or epidemics
- War, terrorism, civil unrest, or government actions
- Shipping delays, port congestion, or customs delays
- Supplier failures or manufacturing disruptions
- Labor disputes or material shortages
- Failures of utilities, transportation, or communication systems
In the event of force majeure, LANI EV’s obligations are suspended for the duration of the event, and delivery dates are extended accordingly.

Intellectual Property
All trademarks, trade names, logos, designs, patents, and proprietary technology associated with LANI EV products remain the exclusive property of LANI EV. Buyer receives no license or right to use LANI EV intellectual property except as necessary for normal use of purchased products.

Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the sale of products shall be resolved exclusively in the state or federal courts located in Putnam County, Tennessee, and Buyer consents to personal jurisdiction and venue in such courts.

Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms, the sale of products, or the Limited Warranty shall first be subject to informal resolution efforts. Buyer must provide written notice of the dispute to LANI EV at managers@laniev.com or 105 Mundy Memorial Dr, Mount Juliet, TN 37122, detailing the nature of the dispute, the relevant facts, and the requested resolution. Upon receipt, LANI EV shall have thirty (30) days to respond and initiate good faith negotiations to resolve the matter informally.
If the dispute is not resolved through negotiation, the parties agree to submit the dispute to non-binding mediation before a neutral mediator selected jointly by the parties or, if they cannot agree, appointed by the American Arbitration Association (AAA) under its Commercial Mediation Procedures. Mediation shall take place in Putnam County, Tennessee, and the costs of mediation (including mediator fees) shall be shared equally by the parties unless otherwise agreed. Mediation must be initiated within sixty (60) days of the end of the negotiation period and completed within ninety (90) days thereafter.
Only if mediation fails to resolve the dispute may either party initiate litigation in accordance with Section 15 (Governing Law and Venue). Compliance with this dispute resolution process is a condition precedent to filing any lawsuit, and failure to comply shall bar any legal action until such process is exhausted. This section does not apply to claims for injunctive relief or disputes involving intellectual property infringement.

Waiver of Jury Trial
To the maximum extent permitted by law, Buyer and LANI EV each waive any right to trial by jury in any proceeding arising out of or related to these Terms or the sale of products.

Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement
These Terms, together with any written purchase order, invoice, and warranty documentation, constitute the entire agreement between Buyer and LANI EV regarding the sale of products and supersede all prior or contemporaneous negotiations, discussions, agreements, or understandings, whether written or oral.
No modification, amendment, or waiver of these Terms is effective unless in writing and signed by an authorized representative of LANI EV. No course of dealing or trade practice shall modify these Terms.

No Waiver
LANI EV’s failure to enforce any provision of these Terms shall not constitute a waiver of such provision or LANI EV’s right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of LANI EV.

Survival
The following sections survive any termination, expiration, or completion of the sale: Sections 2 (No Returns), 5 (Warranty Exclusions), 6 (Limitation of Liability), 7 (Indemnification), 8 (Assumption of Risk), 11 (Payment Terms), 15 (Governing Law), 17 (Waiver of Jury Trial), and 19 (Entire Agreement).

Acknowledgment
By purchasing products from LANI EV, Buyer acknowledges that Buyer has read, understood, and agrees to be bound by these Terms and Conditions of Sale.
